1. Name, Registered office, Business Year

Under the designation "OASA Association" (hereinafter referred to as the "Association") an association for an unlimited duration is established pursuant to Articles 60 et seq. of the Swiss Civil Code and governed by these Articles of Association (the "Articles").

The registered office of the Association is in c/o Juris Services AG, Industriestrasse 47, 6300 Zug (Canton of Zug, Switzerland).

The Association's business year coincides with the calendar year.

Purpose

The purpose of the Association is to preserve, protect and regenerate land, to improve the biodiversity of existing natural ecosystems and the quality of life for present and future generations while allowing its members to access, steward and enjoy the facilities and natural ecosystems of the "Projects" (properties, lands, and other assets acquired and managed directly by the Association or through one or more subsidiary companies, or special vehicle companies, the "SPVs") whose contributors are organised through Decentralised Autonomous Organizations (the "Project DAOs" or simply "DAOs").

Moreover, the Association’s purpose is to set the scope of action and guide the Projects and Members of the Association in fulfilling its purpose the Association created the Principles of Land Regeneration and Stewardship issued by the Association (the "Principles").

The Association pursues its mission with the values of guardianship and stewardship of the land along with supporting decentralised governance systems for the benefit of the commons.

3. Acquiring Membership

Any Contributor to any of the Projects who agrees with the aims of the Association and with the Principles may become a Member ("Member" or "Members"), provided that they have significantly contributed to one of the Projects (as Stewards, Circle Members or equivalent) and that all the other requirements stated by these Articles are fulfilled. Each Project must present a yearly list of Members to the General Meeting. Those who are Members of the Association through their participation in the Projects are recognised as ‘DAO Contributors’.

Additionally, any natural or legal person can be invited by the Steering Committee or the General Meeting and become a Member when approved by the General Meeting, provided that they agree and abide by the Principles and Association Articles to uphold the Association to its regenerative values. Members who contribute to the fulfilment of the Association's regenerative vision with their expertise and values are recognised and referred to as ‘Guardians’.

Both DAO Contributors and Guardians are Members of the Association with the same rights and duties.

Membership in the Association is not transferable.

4. Membership Rights & Duties

Membership of the Association is valid for three years, and Members must be present in at least one annual meeting. If a Member does not come to an annual meeting for two consecutive years, the Steering Committee may terminate membership.
All Members, DAO Contributors and Guardians, commit to act in accordance with the purpose of the Association and to uphold the Principles. In case a Member notices a significant breach, they should inform the Steering Committee in accordance with the process set up in the Any act within the scope of action of the Association or its Projects that threatens those may forfeit membership.
